Terms of Purchase

1. Formation of Contract

These Terms of Purchase govern all orders placed by approved trade account holders with Brand Direct Services Ltd. A contract is formed when we send written order confirmation or dispatch the goods.

2. Eligibility

Orders may only be placed by approved trade account holders who are UK-registered businesses. We reserve the right to decline any order or suspend accounts without notice where we suspect misuse.

3. Pricing

All prices are quoted exclusive of VAT. Prices are subject to change without notice. The price applicable is the price shown at time of ordering. We reserve the right to correct pricing errors before dispatch.

4. Payment Terms

Payment is due at time of ordering unless a credit account has been agreed in writing. Approved credit accounts are payable within 30 days of invoice date. Interest on overdue amounts is charged at 8% above the Bank of England base rate per annum under the Late Payment of Commercial Debts (Interest) Act 1998.

5. Minimum Order

A minimum order value of £50 (excluding VAT and delivery) applies to all orders.

6. Delivery

We aim to dispatch within 3 working days. Delivery timescales are estimates only. Risk passes to you on delivery. We are not liable for delays caused by events outside our reasonable control.

7. Inspection and Shortages

Inspect all goods on delivery and notify us of any shortage, damage or discrepancy within 3 working days to sales@branddirectservices.co.uk. Failure to notify constitutes acceptance of goods as delivered.

8. Returns and Cancellations

Orders cannot be cancelled once dispatched. Returns are accepted only for faulty, damaged or incorrectly supplied goods, pre-authorised within 14 days of delivery. Credit notes are issued within 5 working days of receiving returned goods.

9. Title to Goods

Title does not pass until payment in full is received. Until title passes, you hold goods as our bailee and must store them clearly identifiable as our property and adequately insured.

10. Limitation of Liability

Our total liability shall not exceed the price paid for the goods in question. We exclude all indirect, consequential or economic loss to the fullest extent permitted by law. Nothing excludes liability for death, personal injury or fraud.

11. Governing Law

These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
