Wholesale supply for trade customers only.

These Terms and Conditions govern the supply of goods by Brand Direct Services Ltd to trade customers. By registering for or using a trade account, you confirm you are a business customer and agree to be bound by these terms.

By placing an order with us, you confirm that you have read, understood and accepted these Terms and Conditions in full.

About Brand Direct Services Ltd

Trade accounts — B2B only

Our portal and wholesale supply service is available exclusively to business customers including independent retailers, convenience stores, garden centres, hardware retailers, market traders, online sellers and other trade buyers.

By applying for a trade account, you confirm that you are purchasing goods in the course of a business, trade or profession — not for personal, domestic or household use.

Account registration

Your trade account.

To place orders through our trade portal, you must apply for and be approved for a trade account. We reserve the right to approve or decline any application at our discretion.

You are responsible for:

  • Providing accurate, complete and up-to-date information on your application and account
  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us promptly if you become aware of any unauthorised use of your account

We reserve the right to suspend or close accounts that breach these terms, are inactive for an extended period, or where we have reason to suspect fraudulent or improper use.

Consumer Purchases

We do not supply goods to members of the public. If you are purchasing for personal use, this portal is not for you and these terms do not apply.

Placing orders

How ordering works.

Order acceptance

All orders submitted through our trade portal or by other means (telephone, email) constitute an offer to purchase. A contract is formed only when we confirm acceptance of your order in writing. We reserve the right to decline any order.

Minimum order quantities

Minimum order quantities (MOQs) apply and vary by product line. MOQs will be confirmed at account approval and may be updated from time to time. We supply from single carton quantities upward, with volume pricing on pallet quantities.

Stock availability

All orders are subject to stock availability. We will notify you as promptly as possible if any items are unavailable and will offer alternatives where possible.

Order cancellation

Once an order has been confirmed and picking has commenced, it cannot be cancelled without our prior written agreement. We reserve the right to charge reasonable costs if an order is cancelled after fulfilment has begun.

Commercial terms

Pricing, payment & delivery.

Clear, straightforward commercial terms for all trade supply relationships with Brand Direct Services Ltd.

Pricing

All prices are quoted exclusive of VAT unless otherwise stated. Prices are subject to change; the price applicable to your order is that confirmed at the time of order acceptance.

Payment terms

New accounts: payment in advance of despatch. Established accounts may be granted credit terms (typically 30 days net from invoice), at our sole discretion and withdrawable at any time.

Late payment

Overdue invoices may attract interest under the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to suspend supply to accounts with outstanding overdue balances.

Delivery

We aim to despatch on a next working day basis from our Stockton-on-Tees warehouse. Delivery times are estimates only. Delivery charges vary by order size, weight and destination.

Title to goods

Title in the goods passes to you only upon receipt of payment in full. Until payment is received, the goods remain our property and we reserve the right to require their return.

Transit damage

Visible damage must be noted on the carrier's delivery note at time of delivery. We must be notified in writing of any damage within 48 hours. Claims made later may not be accepted.

Returns & shortages

Returns, shortages & faults.

Shortages

Any shortage in delivered quantities must be reported to us in writing within 5 working days of delivery. Where a shortage is confirmed we will arrange credit or re-supply at our discretion.


Faulty or misdescribed goods

If goods are faulty, misdescribed or not as ordered, please contact us within 14 days of delivery. We will arrange collection and offer a replacement or credit note. Goods must be returned in their original condition and packaging where possible.


Non-faulty returns

We do not routinely accept returns of goods that are not faulty or misdescribed. Any such returns must be agreed with us in writing in advance. We reserve the right to apply a restocking charge of up to 20%, and goods must be returned in resaleable condition.


Returns authorisation

No goods should be returned without a returns authorisation number issued by us. Unauthorised returns will not be accepted.

Product compliance

Product suitability & regulatory compliance.

Certain products we supply are subject to UK regulatory requirements. You are solely responsible for ensuring your resale complies with all applicable laws.

Products that may carry regulatory requirements include — but are not limited to — pest control products, cleaning chemicals, garden products, adhesives and DIY products. Requirements may include:

  • Age verification requirements at point of sale
  • Health and safety labelling obligations
  • Storage and handling requirements
  • Restrictions on sale to certain customer groups
  • Compliance with the Biocidal Products Regulation and Control of Pesticides Regulation

We comply with applicable UK product safety regulations in respect of the goods we supply. Product safety data sheets and compliance information are available upon request.

We make no warranty that products are suitable for any particular purpose or resale market beyond their general description.

Intellectual property

IP & limitation of liability.

Intellectual property

All content on our trade portal — including text, images, logos, graphics and software — is owned by or licensed to Brand Direct Services Ltd. You may not reproduce, copy or distribute any content without our prior written permission.

Brand logos and trademarks displayed on our portal belong to their respective owners. Their display does not imply any affiliation or licence beyond the supply relationship.


Limitation of liability

Nothing in these terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded by English law.

Subject to the above, and to the fullest extent permitted by law:

  • Our total liability shall not exceed the total value of the relevant order
  • We shall not be liable for indirect, consequential, special or incidental loss, loss of profit, loss of revenue, or loss of business opportunity
  • We shall not be liable for loss arising from your failure to comply with applicable laws governing your resale of products

As a B2B supplier, the Consumer Rights Act 2015 does not apply to our supply of goods to you.

Account suspension

Suspension, termination & general.

Suspension & termination

We may suspend or terminate your trade account at any time with reasonable notice, or immediately if:

  • You breach these terms and fail to remedy the breach within 14 days of written notice
  • You become insolvent, enter administration or liquidation
  • We have reasonable grounds to suspect fraudulent activity
  • You fail to make payment when due

On termination, any outstanding invoices become immediately payable. Termination does not affect any accrued rights or liabilities.


Amendments to these terms

We reserve the right to amend these terms at any time. The version in force when your order is placed applies to that order. Continued use of your trade account following any published update constitutes acceptance of the revised terms.


Entire agreement

These terms, together with your confirmed order, constitute the entire agreement between us in respect of the supply of goods. Any prior representations or warranties not expressly included are excluded to the fullest extent permitted by law.

Jurisdiction

Governing law & disputes.

These Terms and Conditions, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), are governed by and construed in accordance with the law of England and Wales.

Governing Law

These terms are governed by the law of England and Wales. Each party irrevocably agrees to the exclusive jurisdiction of the courts of England and Wales.
